Merchant Terms of Use

These General Terms of Use (“Terms”) govern access to and use of all products, services, websites, andapplications (collectively, the “Services”) operated by Tylt Fintech Sp. z o.o. (“Tylt”, “we”, “our”, or “us”).
By accessing or using the Services, you (“User”, “you”) agree to be bound by these Terms, as well as any other policies referenced herein, including Tylt’s Privacy Policy, Acceptable Use Policy, and specific service agreements (for example, Merchant Terms of Use). If you do not agree to these Terms, you must not use the Services.
ABOUT TYLT
Tylt Fintech Sp. z o.o. is a company incorporated under the laws of Poland and registered as a Virtual Asset Service Provider (VASP No. RDWW-1432). Tylt operates digital-asset payment and settlement infrastructure that enables users and merchants to accept, send, or convert cryptocurrency and fiat payments under applicable laws.
SCOPE OF THE SERVICES
Tylt provides access to payment processing, wallet management, cross-ramp conversion, compliance screening, and other related tools for cryptocurrency and fiat transactions.
Use of certain Services may be subject to additional terms, including Merchant Terms of Use, API Terms, or service-specific addenda.Tylt may modify or discontinue parts of the Services at its discretion, provided that such modifications do not materially affect the essential features offered to existing users without notice.
ELIGIBILITY
To use the Services, you must:
be at least 18 years of age (or the legal age of majority in your jurisdiction);
have the legal capacity to enter into binding contracts; and
not be located in or associated with any sanctioned or prohibited jurisdiction.
Corporate users must be validly incorporated and authorised to conduct business in their jurisdiction of operation.
ACCOUNT REGISTRATION
Certain features of the Services require you to create an account. You agree to:
provide accurate, current, and complete information;
maintain and promptly update your account details; and
safeguard your login credentials and notify Tylt immediately of any unauthorised use.
You are responsible for all activity under your account.
COMPLIANCE AND VERIFICATION
Tylt conducts Know-Your-Customer (KYC), Know-Your-Business (KYB), and Anti-Money-Laundering (AML) checks in accordance with applicable regulations. You agree to provide requested identification or business information promptly. Failure to do so may result in suspension or termination of access to the Services.
ACCEPTABLE USE
All users must comply with Tylt’s Acceptable Use Policy.
You may not use the Services for any unlawful, fraudulent, or prohibited purpose, or in violation of applicable laws or regulations, including those concerning AML, CFT, or sanctions. Tylt reserves the right to refuse, suspend, or terminate Services to any user engaged in activities deemed to present unacceptable regulatory or reputational risk.
FEES AND PAYMENT
Certain Services may involve processing or transaction fees as disclosed within the platform or applicable agreement.By using those Services, you agree to pay all applicable fees. Tylt may adjust fees from time to time with prior notice.
RISK DISCLOSURE
Cryptocurrencies and digital assets are volatile and may lose value. You acknowledge and accept all risks related to price fluctuation, technology failure, or regulatory changes. Tylt does not guarantee the value of any asset or the success of any transaction. You use the Services entirely at your own risk.
DATA PRIVACY
Tylt collects and processes personal and business data in compliance with applicable data-protection laws and Tylt’s Privacy Policy. By using the Services, you consent to such processing and to Tylt sharing data where necessary to comply with law, enforcement requests, or AML obligations.
INTELLECTUAL PROPERTY
All rights, title, and interest in Tylt’s platform, website, technology, trademarks, and related materials remain the exclusive property of Tylt and its licensors. You may not copy, modify, reverse engineer, or misuse any part of Tylt’s intellectual property.
SUSPENSION AND TERMINATION
Tylt may suspend or terminate access to the Services without prior notice if:
you breach these Terms or any other applicable policy;
your activity presents a legal, compliance, or reputational risk; or
required by regulatory or law-enforcement authorities.
You may terminate your account at any time by contacting support@tylt.money. Certain data may be retained for legal or compliance purposes.
LIMITATION OF LIABILITY
To the fullest extent permitted by law:
Tylt is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities;
Tylt’s total liability for any claim arising under these Terms shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability for fraud, wilful misconduct, or any matter where exclusion would be unlawful.
INDEMNIFICATION
You agree to indemnify and hold harmless Tylt, its affiliates, officers, and employees from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms, violation of law, or misuse of the Services.
SERVICE INTERRUPTIONS AND FORCE MAJEURE
Tylt is not responsible for any failure or delay due to circumstances beyond its control, including acts of nature, regulatory restrictions, internet or network outages, cyberattacks, or third-party service disruptions.
Amendments
Tylt may update or amend these Terms at any time. Updates will be posted on the Tylt website and become effective 15 days after publication unless required sooner by law. Continued use of the Services constitutes acceptance of the updated Terms.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of Poland. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Warsaw, unless otherwise required by mandatory law. Users are encouraged to contact Tylt’s support or compliance team to attempt an informal resolution before initiating formal proceedings.
